The purpose of the Haines’ Board of Directors, which includes five outside Directors and the company’s CEO, is to represent Haines’ Shareholders by guiding and counseling management in major company matters such as approving company strategy and budget, approving acquisitions and other major corporate transactions, supporting the executives, selecting and supervising the CEO. The Board is also responsible for maintaining the Corporate Charter.
